Terms of Service for NectarPay Dash

Effective Date: April 15, 2026

These Terms of Service ("Terms") govern your access to and use of NectarPay Dash, a Stripe app provided by Hiveway Inc. ("Hiveway", "we", "us", or "our").

By installing, accessing, or using NectarPay Dash, you agree to these Terms. If you are using NectarPay Dash on behalf of a company, organization, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms. In that case, "you" and "your" refer to that entity.

If you do not agree to these Terms, do not install, access, or use NectarPay Dash.

1. About NectarPay Dash

NectarPay Dash is a Stripe app that helps businesses manage in-person payment workflows within the Stripe Dashboard. Features may include reader-based payments, saved card workflows, supported refunds, catalog and cart-based checkout, billing-related features, and settings related to tax and tipping.

NectarPay Dash is intended for business use only.

2. Eligibility and Stripe Account Requirements

To use NectarPay Dash, you must:

  • have a valid Stripe account in good standing
  • have authority to use the Stripe account with which NectarPay Dash is installed
  • comply with Stripe’s terms, policies, and technical requirements
  • comply with all applicable laws, rules, and regulations related to your business and use of the app

Your use of Stripe’s services is governed by your agreement with Stripe, not these Terms.

3. License

Subject to these Terms, Hiveway grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use NectarPay Dash for your internal business purposes.

This license is provided solely for use with your authorized Stripe account and only in accordance with these Terms.

4. Restrictions

You may not, and may not permit any third party to:

  • copy, modify, translate, or create derivative works of NectarPay Dash
  • reverse engineer, decompile, disassemble, or otherwise attempt to discover source code or underlying components, except where prohibited by law
  • sell, resell, license, sublicense, distribute, or commercially exploit NectarPay Dash except as expressly permitted by Hiveway
  • use NectarPay Dash to violate law, infringe rights, or interfere with the security or operation of Stripe, Hiveway, or any third party
  • bypass or attempt to bypass technical limitations, entitlements, usage restrictions, or security controls
  • use NectarPay Dash in a manner that could damage, disable, overburden, or impair the app or related services

5. Your Responsibilities

You are responsible for:

  • the accuracy of information you provide or make available through Stripe
  • your configuration of Stripe Terminal locations, readers, tax settings, tipping settings, products, prices, and billing settings
  • your personnel, contractors, and authorized users who access NectarPay Dash through your Stripe account
  • reviewing payment, refund, authorization, and capture outcomes in Stripe
  • complying with applicable payment, tax, consumer protection, privacy, and recordkeeping laws
  • maintaining appropriate internal controls over who can access your Stripe account and use NectarPay Dash

You acknowledge that some NectarPay Dash features depend on how your Stripe account and Stripe services are configured.

6. Fees and Billing

Some features of NectarPay Dash may require a paid subscription or paid plan. Pricing, plan details, and billing terms presented through Stripe, the Stripe Billing Portal, or Hiveway’s pricing materials are incorporated into these Terms by reference.

You authorize charges and subscription billing in accordance with the pricing and plan you select.

Unless otherwise stated:

  • fees are non-refundable except where required by law
  • subscriptions may renew automatically unless canceled
  • changes to your plan, billing interval, payment method, or subscription status may be managed through the Stripe customer portal available from NectarPay Dash App Settings or through other billing flows made available to you

If you wish to cancel your subscription, you may do so through the Stripe customer portal made available through the app’s App Settings page, subject to your then-current billing cycle and Stripe billing flow behavior.

Hiveway may change pricing or plan structure in the future. If we do, the updated pricing will apply prospectively as permitted by law and your subscription terms.

7. Stripe and Third-Party Services

NectarPay Dash operates within the Stripe ecosystem and may rely on third-party services, including Stripe, Google Firebase / Google Cloud, and Atlassian support services.

Hiveway is not responsible for the availability, performance, or acts or omissions of Stripe or other third-party services. If Stripe or another third-party service is unavailable, changed, restricted, or terminated, some or all functionality of NectarPay Dash may be unavailable or affected.

8. Data and Privacy

Your use of NectarPay Dash is also subject to our Privacy Policy.

NectarPay Dash may access certain information available through your Stripe account in order to operate. Hiveway stores limited application data needed to support the app, including certain Stripe record identifiers and related operational metadata.

Hiveway does not collect or store full payment card numbers through NectarPay Dash. Payment processing and card data handling are performed by Stripe and Stripe Terminal.

You represent and warrant that you have all necessary rights, permissions, and legal bases to make data available through Stripe and to use NectarPay Dash in connection with that data.

9. Service Availability and Changes

Hiveway may update, improve, modify, suspend, or discontinue NectarPay Dash or any feature at any time, with or without notice.

We do not guarantee that NectarPay Dash will always be available, uninterrupted, error-free, or compatible with all Stripe features, reader hardware, workflows, or account configurations.

Feature availability may depend on your plan, account setup, geography, Stripe permissions, Stripe product availability, or other operational requirements.

10. Support

Hiveway may provide support for NectarPay Dash through documentation, support portals, or direct assistance, but we are not obligated to provide any particular level of support unless separately agreed in writing.

Support response times, hours, and channels may vary.

11. Beta, Preview, or Experimental Features

From time to time, Hiveway may offer features identified as beta, preview, early access, or experimental. Those features may be incomplete, changed, or discontinued at any time and may be subject to additional terms.

Hiveway makes no commitments regarding the continued availability or final form of such features.

12. Disclaimer of Warranties

NECTARPAY DASH IS PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HIVEWAY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, OR THAT THE APP WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

HIVEWAY DOES NOT WARRANT THAT NECTARPAY DASH WILL MEET YOUR REQUIREMENTS, PRODUCE ANY PARTICULAR BUSINESS RESULT, OR PREVENT PAYMENT ERRORS, READER FAILURES, TAX ERRORS, BILLING ISSUES, OR REGULATORY NON-COMPLIANCE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HIVEWAY AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR USE, ARISING OUT OF OR RELATED TO NECTARPAY DASH OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HIVEWAY’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO NECTARPAY DASH OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

  • THE AMOUNT YOU PAID TO HIVEWAY FOR NECTARPAY DASH IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR
  • CAD 100

Some jurisdictions do not allow certain disclaimers or limitations, so some of the above may not apply to you to the extent prohibited by law.

14. Indemnification

You will defend, indemnify, and hold harmless Hiveway and its affiliates, officers, directors, employees, contractors, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising out of or related to:

  • your use of NectarPay Dash
  • your violation of these Terms
  • your violation of any applicable law or regulation
  • your business operations, products, services, payments, refunds, tax settings, or customer interactions
  • your infringement or violation of any third-party rights

15. Suspension and Termination

Hiveway may suspend or terminate your access to NectarPay Dash at any time, with or without notice, if:

  • you violate these Terms
  • your use presents security, legal, operational, or reputational risk
  • Stripe suspends, restricts, or terminates your access to relevant Stripe services
  • Hiveway decides to discontinue the app or a related offering

You may stop using NectarPay Dash at any time and may uninstall or cancel any subscription in accordance with the applicable billing flow.

Upon termination, the license granted under these Terms ends immediately, but Sections that by their nature should survive will survive, including those related to fees owed, disclaimers, liability limits, indemnification, governing law, and dispute resolution.

16. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.

Subject to applicable law, the courts located in Ontario, Canada will have exclusive jurisdiction over disputes arising out of or relating to these Terms or NectarPay Dash, and you consent to that jurisdiction and venue.

17. Changes to These Terms

Hiveway may update these Terms from time to time. If we make material changes, we may provide notice by updating the effective date, through the app, through Stripe, or by other reasonable means.

Your continued use of NectarPay Dash after updated Terms become effective constitutes acceptance of the updated Terms.

18. General

These Terms constitute the entire agreement between you and Hiveway regarding NectarPay Dash unless you and Hiveway have entered into a separate written agreement covering the app.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

Hiveway’s failure to enforce any provision of these Terms is not a waiver of that provision.

You may not assign or transfer these Terms without Hiveway’s prior written consent. Hiveway may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
